TERMS AND CONDITIONS

1. SERVICES

Codersy provides Shopify development services, including but not limited to theme customization, app development, and store setup. All Services are subject to these Terms and any additional terms and conditions that may be set forth in a written agreement between Codersy and the client.

2. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate and complete information to Codersy regarding their business and Shopify store. Clients are also responsible for providing access to their Shopify store and any necessary login credentials. Codersy is not responsible for any delays or issues resulting from inaccurate or incomplete information provided by the client.

3. PAYMENT TERMS

Codersy requires 50% payment before commencing work on any project, and the remaining 50% upon project completion. All fees and charges are non-refundable. If a project is terminated before completion, Codersy reserves the right to bill the client for any work already completed.

4. INTELLECTUAL PROPERTY

All intellectual property rights in the Site and Services, including but not limited to copyrights, trademarks, trade secrets, and patents, are the property of Codersy or its licensors. Clients retain all intellectual property rights in their business and Shopify store. Codersy does not claim ownership of any client intellectual property.

5. CONFIDENTIALITY

Codersy agrees to keep confidential all information provided by the client, including but not limited to business information, customer data, and Shopify store access credentials. Codersy will not use or disclose such information except as necessary to provide the Services or as required by law.

6. LIMITATION OF LIABILITY

Codersy is not liable for any damages resulting from the use of the Site or Services, including but not limited to direct, indirect, incidental, consequential, or punitive damages. Codersy's liability is limited to the amount paid by the client for the Services.

7. INDEMNIFICATION

Clients agree to indemnify and hold Codersy harmless from any claims, damages, or expenses resulting from the client's use of the Site or Services.

8. TERMINATION

Codersy may terminate these Terms and/or any Services at any time without notice or liability. Clients may terminate these Terms and/or any Services upon written notice to Codersy.

9. GOVERNING LAW

These Terms and any disputes arising under or in connection with these Terms or the Services shall be governed by and construed in accordance with the laws of the Republic of Serbia without giving effect to any choice or conflict of law provision or rule.
